Ilya Craft about the legal dispute in the Nginx case , investment funds Runa Capital and E.Ventures. In its lawsuit, Lynwood disputes the exclusive rights to the Nginx Plus software, a commercial version of the Nginx web server developed by former Rambler employees Sysoev and Konovalov. Lawyer and member of the Civic Chamber Ilya Remeslo analyzes the essence of the dispute and the positions of the parties, and also explains what consequences the proceedings may lead to.

The legal dispute over the "Nginx case" may become one of the largest and systemically important not only in Russia, but also in the world. The outcome of the case will largely determine the future enforcement of copyright - and not only in software. The question is much broader - can an employee of a corporation use its resources to create his own product, and then freely declare it his property?

There are a lot of misconceptions around the Nginx case, largely based on an emotional approach to the matter. The “progressive liberal public” has already presented the matter something like this: on the one hand, two brilliant creators of unique software, Sysoev and Konovalov, and on the other, the “shark of capitalism” Lynwood, which oppresses free IT people and wants to profit at their expense. But is this the situation in reality, if we discard emotions and clichés, and study the law?

What is Nginx and how the dispute arose

Nginx is a software, web server, one of the three most popular in the world. It is used by about half a billion sites worldwide, including products of such giants as Yandex, Facebook, Instagram, Google, Netflix, Adobe.

Nginx allows the user to deploy their own web server. It is noteworthy that the service uses open source code - that is, any user can modify this software to suit their needs.

The history of Nginx is . In 2000, programmer Igor Sysoev got a job as a system administrator at the Rambler company. In the course of his career, Sysoev developed a web server, and in 2004 (according to his own admission) Nginx began to be used by his employer in Rambler's photo storage service.

In 2011, Sysoev left Rambler and founded Nginx. In March 2019, Nginx was acquired by the American company F5 for $670 million, in which the founders of the project Sysoev and Konovalov continued to work on Nginx.

The Rambler company, having learned from an informant that Sysoev and Konovalov had sold an employee work, collected information about Sysoev's violation of the exclusive rights to dispose of the work, since Sysoev created Nginx, being an employee of Rambler. The exclusive right to dispose of an intellectual property object in accordance with the norms of Art. 1295 of the Civil Code of the Russian Federation, belongs to Sysoev's employer.

As a result, Rambler transferred Lynwood the right to claim against Sysoev and Konovalov for $670 million in damages caused by infringement of the exclusive right to Nginx. The Lynwood company filed a vindication claim (for the recovery of intellectual property) and compensation for damages in an American court - since it was the American company F5 that Sysoev sold the rights to Nginx.

Positions of the parties to the claim

Sysoev and representatives of the F5 company do not recognize the claims. As Sysoev himself states, he developed Nginx "in his spare time from his main work." The absence of a verdict in Russia in a criminal case on copyright infringement, according to the defendants, indicates the groundlessness of Lynwood's claims.

In turn, Lynwood claims in its lawsuit that Rambler learned about the registration of the company only in 2019 from an employee of Rambler Korotkov, who testified against Sysoev. According to the plaintiff, Sysoev and the company turned to external investors solely for the purpose of stealing the product. The plaintiff also refers to Korotkov's correspondence with Konovalov and Sysoev in 2010, which the defendants tried to destroy. The correspondence refers to a presentation for investors with detailed plans for the development of Nginx as a commercial service. And the first use of the Nginx trademark occurred no later than March 1, 2011, when the defendants were still working at Rambler. In addition, Plaintiff alleges that Defendants intentionally and consensually withheld from the employer the true value of Nginx. So, Konovalov gave Nginx the lowest rating on the corporate scale, but at the same time discussed with Sysoev the sale of software for $100 million.

Other, no less interesting materials are published in the telegram channel NGINX Papers . In one of the letters, in particular, Konovalov calls Rambler "alma mater of NGINX", thereby confirming the corporate origin of the project.

There is another interesting point in this dispute. On the date of creation of Nginx (2002), the law "On the legal protection of programs for electronic computers and databases" was in force in Russia. Article 12 of this law says that "The exclusive right to a computer program or a database created by an employee (author) in connection with the performance of labor duties or on the instructions of the employer belongs to the employer, unless otherwise provided by the contract between him and the employee (author)" .

Thus, a work may become the property of the employer if it was created in connection with the performance of work duties by the employee, that is, even without a direct job assignment.

Sysoev himself in a series of interviews de facto admits that he was involved in the creation of mod_accel (the first name of Nginx) on the instructions of Rambler:

“Then I was asked to deal with the mod_proxy module. I looked at it and decided that it was easier to write everything from scratch than to adapt some things there. Thus, the mod_accel module appeared - a module and a set of patches for Apache for reverse proxying. This was also in the spring of 2001.
- That is, you made all these modules for Rambler, simultaneously posting them to the public?
- Basically, yes.

How will the dispute end?

Contrary to popular belief, the positions of Sysoev and his American investors are not at all that strong.

As we have already found out, the argument “I did this in my free time” does not stand up to criticism and is refuted by the words of Sysoev himself, as well as by testimonies and other facts. The burden of proof in this case will lie with Sysoev and his investors.

As for the argument “copyright has not been violated, since the criminal case in Russia is closed” - it does not withstand criticism at all, not to mention the fact that there is still no official information about the closure of the case.

Firstly, it is extremely strange to observe references to the Ministry of Internal Affairs from people who just recently shouted about a “custom criminal case”. That is, the same policemen turn out to be bad at first, and then they become good and right.

Secondly, the protection of violated rights in civil proceedings in the United States and criminal proceedings in Russia are two completely different ways of protecting rights that do not intersect in any way. In a civil trial, there is a different procedure and subject of proof than in a criminal one.

Thus, according to the US Federal Rules of Civil Procedure, the representative (lawyer) of the plaintiff, before filing a lawsuit in court, must make sure that the claims of the applicant are based on law and are supported by evidence. In the event of a representative's mistake, financial liability may be imposed on him - for this reason, lawyers' liability insurance is common in the United States.

Accordingly, the filing of a lawsuit by Lynwood American lawyers means that they are fully aware of the evidence and take full responsibility before the client and the law.

Unobvious consequences of the case

For some reason, it is silent that in the current situation there are not only private, but also state interests, including national security. In the current status quo, NGINX localizes code to the US. It is not difficult to assess the consequences of such conduct of business, and the whole world has done this by deploying strategic developments at its own facilities.

If the investigation in Russia does not establish the truth in the Nginx case in a timely manner, then the dispute over the rights to the most important Russian technology will be completely at the mercy of the American court. And in the event that Lynwood's claim is nevertheless denied, one of the most important IT technologies will remain the property of the American company F5.

The real purpose of the transaction is to bring technology abroad, taking advantage of the imperfection of the legislation. Imagine a similar situation in the United States - what would happen if a certain high-ranking employee of Microsoft began to “leak” valuable software to the Chinese by founding his own company? One copyright case will not do here, the state simply will not allow it.

It is curious that F5, in its press release regarding the trial with Lynwood, not only does not hide, but also separately focuses on the fact that the source code was derived from Russia, and Russian programmers no longer have full access to it.

Possible denial of Lynwood's rights will form a negative practice and bring instability to the IT industry for talented professionals. Large investors will not be interested in attracting serious employees, will not pay them high salaries, and will not invest in IT. After all, the intellectual result of the work of employees can subsequently be declared their personal property. It is much easier to enter into a criminal conspiracy, pay symbolic money and steal technology that has been created using the resources of another company for decades.
